Introduction

Thank you for selecting Exenialum!

These Terms of Service (“Terms”) together with the Privacy Policy (collectively, the “Agreement”) are binding and govern the relationship between the Account Holder (“you” or the “Account Holder”) and Exenialum Ltd (“Exenialum”). By registering an Account, purchasing or using Exenialum Products or Services, or otherwise interacting with the Exenialum platform, you agree to be bound by these Terms.

If you do not agree to these Terms or to the Privacy Policy, you must not register for an Account, Top-Up Balance, purchase a Plan, install or activate an eSIM, or use any Exenialum Product or Service.

Definitions

For the purposes of this Agreement, the following definitions shall apply:

• Account Holder means the natural person who has registered for an account with Exenialum and has, or intends to, associate a valid Exenialum Product (including but not limited to an eSIM) with such account.
• Account means the digital profile created by the Account Holder on the Exenialum platform, through which Balance can be credited, Plans can be purchased, and services can be managed.
• Balance means pre-paid funds credited to the Account, denominated in Tokens, and available for the purchase of Exenialum Services.
• Top-Up means the act of adding funds to the Balance using an authorized payment method (e.g., VISA/Mastercard).
• eSIM means an embedded SIM card that resides in compatible hardware and enables the Account Holder to access Exenialum Services.
• Plan means a digital package purchased by the Account Holder consisting of defined allowances (for example, data in GB, or minutes), which is valid in one or more geographies and for a limited period as specified at the time of purchase.
• Exenialum Application or App means the proprietary software application owned and operated by Exenialum, through which the Account Holder can access Services.
• Exenialum Products means, collectively, the eSIM, Exenialum Application, Balance, Plans, and any other products or services offered by Exenialum from time to time.
• Service(s) or Exenialum Service(s) means the Plans, data connectivity, and related digital services provided to the Account Holder.
• Intellectual Property Rights means all rights relating to works of authorship, inventions, designs, trademarks, know-how, trade secrets, domain names, software, databases, and all associated registrations and applications worldwide.
• Participating Network Operator means each third-party telecommunications operator whose infrastructure is used to deliver connectivity for Exenialum Services.

Service Description

• These Terms govern the use, sale, and performance of Exenialum Products and Services.
• Exenialum Products, including eSIMs and Balance, may only be sold to persons who are 18 years of age or older. By registering an Account, you confirm you meet this requirement.
• The Account Holder must provide a valid and accessible email address during registration. Accounts without confirmed email addresses may be deleted automatically within thirty (30) days.
• Balance is credited through authorized payment methods. Once credited, Balance becomes immediately available for purchases. Balance does not expire but cannot be withdrawn into cash or returned to a payment method except through Exenialum’s refund procedure.
• To purchase a Plan, the Account Holder must first ensure sufficient Balance. Once a Plan is purchased, activation is instantaneous and non-transferable.
• Plans are delivered as digital goods and are not eligible for return or resale.
• The Account Holder is solely responsible for ensuring that their device is compatible, unlocked, and supports eSIM installation.
• Plans are data-only unless otherwise specified. Standard voice calls, SMS, and MMS are not included unless explicitly stated in the description.
• Certain Plans may allow unused data to be carried over into specific territories, as indicated at checkout, but such benefits are subject to change without notice.
• Exenialum reserves the right to deactivate Accounts that remain inactive for over eighteen (18) months or where no eSIM has been registered within thirty (30) days of Account creation.

Online Purchase or Top-Up

• The primary transaction currency will be GBP, unless otherwise displayed at checkout in EUR, USD, or other supported currencies.
• Processing fees charged by payment providers may apply and are outside of Exenialum’s control.

Refund Policy

• Balance cannot be withdrawn but may be refunded in full or in part upon request. Refund requests must be submitted by email to info@esimexe.com.
• Refunds will be considered on a case-by-case basis. Approval is at Exenialum’s sole discretion.
• A refund may be granted where:
• The Plan was purchased in error and has not been activated.
• A technical fault attributable to Exenialum prevented Plan activation, provided that minimal or no usage has occurred.
• A refund will not be granted where:
• The Plan has been successfully activated and used.
• The device is not eSIM-compatible or is SIM-locked.
• Service interruptions or coverage limitations are due to the Participating Network Operator or geographic factors beyond Exenialum’s control.
• Refunds may be reduced by applicable transaction fees, processing charges, or exchange rate adjustments.

No Warranties

• ALL PRODUCTS AND SERVICES PROVIDED BY EXENIALUM ARE PROVIDED “AS IS” AND “WITH ALL FAULTS.”
• Exenialum disclaims all implied warranties, including merchantability, fitness for a particular purpose, accuracy, reliability, and uninterrupted service.
• Exenialum Products are not designed or intended for use in high-risk or critical environments such as medical devices, aviation, nuclear facilities, emergency services, or military systems. The Account Holder acknowledges and agrees that Exenialum shall not be liable for any damages arising from such use.

Limitations of Liability

• Under no circumstances shall Exenialum be liable for incidental, consequential, special, punitive, or indirect damages, including lost profits, data loss, or interruption of business, even if advised of such possibilities.
• Exenialum’s aggregate liability shall not exceed the total amount actually paid by the Account Holder to Exenialum for the affected Plan or Service during the three (3) months preceding the claim.
• Exenialum shall not be responsible for failures or interruptions caused by Participating Network Operators, nor for conditions beyond its reasonable control, including but not limited to natural disasters, strikes, acts of government, or failures of third-party infrastructure.

Fair Use Policy

• The Account Holder’s usage of any Plan is expected to remain within reasonable personal use.
• Excessive or abusive consumption of data, as determined by Exenialum in its sole reasonable discretion, constitutes misuse.
• Abuse includes, but is not limited to:
• Unauthorized tethering or hotspot usage.
• Routing large volumes of commercial traffic.
• Use for reselling connectivity.
• Exenialum reserves the right to monitor data consumption and may reduce speed, suspend, or terminate Services without refund in cases of abuse.

Jurisdiction and Arbitration

• These Terms are governed by and construed in accordance with the laws of Scotland.
• Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Edinburgh, Scotland.
• Exenialum may, at its discretion, require disputes to be resolved through arbitration under applicable Scottish rules of arbitration.

Ownership and Intellectual Property

• Nothing in these Terms transfers ownership of any intellectual property rights.
• All Exenialum Products and Services, including but not limited to software, designs, documentation, and trademarks, remain the sole property of Exenialum and its licensors.
• The Account Holder receives only a limited, non-transferable, revocable license to use Exenialum Services in accordance with these Terms.

Privacy Policy and Data Use

• The Exenialum Privacy Policy is an integral part of these Terms and is fully applicable to all Account Holders.
• By registering an Account and/or using Exenialum Products or Services, you expressly consent to the collection, processing, and retention of your personal data in accordance with the applicable Privacy Policy.
• Exenialum may share personal data with trusted third-party service providers only where necessary for the provision of Services.
•  Account Holders retain the right to request the deletion of their Account or personal data by contacting Exenialum directly.

Updates to These Terms

• Exenialum may amend or update these Terms from time to time to reflect regulatory requirements, new features, service changes, or for other legitimate reasons.
• Updates become effective upon publication on the Exenialum website.
• Continued use of Services after updates constitutes acceptance of the amended Terms.
